HyperMatrix is selling a service (PaaS, Platform as a Service), made available through a centralized platform that provides secure communication services and status monitoring of remote devices.
A proprietary gateway called “HyperNode” has to be installed next to each device that needs a service to be delivered. Such gateway is responsible to encrypt all communications between the any remote user, the central server and the target device(s). Please refer to the document called “HyperManage service”, available in the Support Download area, for detailed information on the HyperMatrix’s services structure and functionalities.
According to the type of contract, HyperMatrix will provide the HyperNodes as a free loan unit included in the service contract, or HyperMatrix will sell the HyperNodes to the company contracting its services and in such case the service fee will be lower because it will include only the central server platform (HyperManage) usage and not include the HyperNode usage.
The prices on this web site are either simple monthly fees for the services contracted or in case there is some hardware purchasing they have a “one-shot” cost for the purchasing of the hardware (the HyperNode(s)) plus a monthly service fee for the central platform usage.

Payment methods
The standard payments method is through the PayPal platform, but the customer has also the option of pre-paying by bank wire-transfers.

Purchasing procedure and PayPal payment flow
After describing the desired configuration through the visual service configurator of the online store, the customer can checkout the content of his/her cart. In case of whole service formula (no HyperNode(s) purchasing), the checkout price will be composed of the following items:
- hardware shipping cost
- three months of service pre-payment
In case the customer decides to purchase HyperNode hardware, the checkout price will be composed of the following items:
- hardware cost
- hardware shipping cost
- one month of service pre-payment
After performing the payment procedure through the Paypal gateway HyperMatrix will ship the necessary hardware and the customer will have to wait for the arrival at its premises of the hardware necessary to implement the services he contracted; the shipment status will be trackable through the order status available in the client's private area of the HyperMatrix web site.
When the hardware will reach the customer’s premises, he/she will have to confirm its arrival through the order tracking procedure in the customer’s private area. At this point the customer will be redirected again to the PayPal site to confirm the starting date of his/hes service monthly subscription.
The subscription of the service will begin to run from the date of the confirmation by the customer of the hardware arrival at destination. The first monthly payment will be programmed through Paypal three months after from the subscription date (having such three months already been pre-paid by the customer at the time he/she entered the order).
At the end of such procedure the HyperNodes that were confirmed delivered will be moved to the customer’s network where the customer will be able to perform any further configuration and customization needed to make the service purchased fully functional according to the clients requirements.
The PayPal monthly subscription will not have an expiring time, and it will be running until the service contract is cancelled either by HyperMatrix or by the customer and then it will have to be manually terminated.
Should the customer require any data or clarification of the status of its account then he/she should write to HyperMatrix customer support at support@hypermatrix.com. HyperMatrix support department will be promptly responding to any customer identifying themselves through their customer and order numbers.

Bank wire-trasfer payment flow

The order will go into a state of “waiting for payment”. After HyperMatrix will receive the due wire transfer, the shipping of the hardware will be freed.
The customer will have to wait for the arrival at its premises of the hardware necessary to implement the services he contracted; the shipment status will be trackable through the order status available in the client's private area of the HyperMatrix web site.
When the hardware will reach the customer’s premises, he/she will have to confirm its arrival through the order tracking procedure in the customer’s private area.
The subscription of the service will begin to run from the date of the confirmation by the customer of the hardware arrival at destination.

One month before the ending of the six months pre-paid service period, HyperMatrix will send to the customer a warning by mail that the next six months service will have to be pre-paid.
In case the customer would not issue a new wire-transfer to pre-pay the next six months, 15 days after the due date, the service will be suspended and all access to the HyperManage platform automatically disabled.
Should the customer require any data or clarification of the status of its account then he/she should write to HyperMatrix customer support at support@hypermatrix.com. HyperMatrix support department will be promptly responding to any customer identifying themselves through their customer and order numbers.

Material sending to customer
HyperMatrix will ship the hardware (HyperNodes) part of the order using the fastest/more reliable available service in the delivery region, using normally but not necessarily express couriers like DHL, UPS, FedEx, etc. Whatever the shipping method chosen, it will be a trackable shipping method. The customer will always have available tracking referrals in his/her private area on HyperMatrix web site. The destination address will be by default the one used by the customer in the registration procedure on HyperMatrix web site, if not otherwise specified in the checkout procedure of the HyperMatrix online store.

Substitution of faulty hardware
If the Customer determines that a HyperNode(s) in his possession is not in a fully functional state, there are different way to handle the substitution, depending also on the different option the customer chose at the time he finalised the order:
- If the customer has chosen to buy HyperNodes, they will be covered by 12 months of standard warranty period, so they would be substituted free of charge unless damaged by some kind of customer's negligence during such period
- If the customer chose to have the HyperNode(s) shipped to him/her on free loan bases within the whole service formula (no HyperNode purchasing) the HyperNode(s) he/she holds are HyperMatrix's property: HyperMatrix will always handle the free of charge substitution of such hardware providing that the faulty equipment is not deemed to have been damaged by customer's negligence.
The substitution procedure is fully handled by a web procedure initiated by the customer with a substitution request in the client private area.
Requesting some spare equipment to be stationed at customer's operational site for fast substitution:
The customer is always entitled to order a spare node to HyperMatrix, to have it ready for use to substitute a client's faulty equipment. On customer request HyperMatrix will send and leave stationed at customer premises 1 (one) spare free node for every 10 (ten) HyperNodes stationed at customer site within its service subscription agreement(s). The customer can always request an extra spare HyperNode by pre-paying a certain amount of cash that will act as a warranty for the future return of the extra hardware delivered. Such cash advance can be refund when a faulty HyperNode is sent back to HyperMatrix for repair and its condition is not deemed as "faulty for mishandling or negligence".
Any customer can access its private area where he/she will find the web based procedure to ask for the different types of substitution:
SUBSTITUTION PROCEDURES:
The customer has a spare HyperNode in its own stock and wants to use it to substitute a faulty HyperNode in its network:
With this option, the customer will select a spare node from his own stock. Through the procedure the HyperNode serial number will be sent to HyperMatrix support department that will enable in such new equipment the same set of functionality present in the broken HyperNode, and also will make exchange of the two HyperNodes inside the HyperManage platform.
The customer will then have to send back the faulty HyperNode, that will be analyzed by HyperMatrix technicians to exclude damages due to negligence by the customer. In case the node is considered not damaged because of customer's negligence, it will be substituted with a new spare node that will be immediately sent to the customer, or if the customer will choose to be refunded for the spare HyperNode cost e cash refund procedure will be performed.
In case the damage of the HyperNode is considered due to customer's negligence, the customer will be charged for the repair of the node: the repair cost will be communicated to the customer and agreement on the following procedure will have to be reached via mail.
If the spare HyperNode was used to substitute a HyperNode that was customer's property (a purchased HyperNode), the faulty one returned will be examined to determine if it covered by standard warranty. All communications regarding any repair cost for the customer will be handled and agreed by mail directly between HyperMatrix and the customer.
Request of a HyperNode for immediate shipment:
The customer has the option to request a HyperNode for immediate shipment without waiting for the faulty one being returned to reach HyperMatrix Return Centre in order to speed up the substitution procedure of a faulty unit. Choosing this option the customer will be asked to advance a set amount of money to cover the warranty of the HyperNode being shipped before the faulty one is returned.
When receiving the substitution equipment the the customer will have to confirm the node reception in the Customer's private area on HyperMatrix's web site. By doing so he/she will trigger the procedure for logically substituting the old faulty HyperNode with the new one inside the HyperManage platform so that the new HyperNode can start operating in the old HyperNode place.
The customer will have to send back the faulty HyperNode that will be examined to exclude any damage due to customer negligence. If the HyperNode fault will not be considered customer's responsibility then the cost previously charged will be returned to the customer account.
In case the faulty node was a purchased HyperNode, the same procedure will apply but when examining the returned HyperNode it will also be considered if it is still in the warranty period before sending any refund. Any further cost or deductions in the re-fundable amount , in case the unit is not covered by the standard warranty, will be communicated and agreed by HyperMatrix and the customer via mail.
Request of a substitution HyperNode to be shipped only after HyperMatrix receives the faulty unit:
The customer has the final option to send back the faulty node to HyperMatrix, and wait for the substitution unit to be shipped by HyperMatrix after receiving and examining the faulty unit.
In this case the customer will have to ship the faulty unit first and will receive a new HyperNode only after HyperMatrix has received and analyzed the faulty one. HyperMatrix will not be pay any shipping or custom related expenses for units being returned by a customer to the HyperMatrix collecting center.
If the received unit will be not deemed to have been damaged by customer negligence HyperMatrix will immediately ship a substitution unit free of charge. When the customer will receive the substitution HyperNode, he/she will confirm the reception of the unit in the customer's private area on the HyperMatrix web site and the new HyperNode will be configured to logically substitute the faulty one in the HyperManage platform.
Based on fault HyperNode analysis, HyperMatrix will decide if the customer has to be refunded for the service period not used due to the damaged unit or if the customer has to be charged for the HyperNode repairs. In any case, HyperMatrix will handle communications of the diagnosis with the customer via email, to agree on the resolution of the case.

Return policy
As always, even during the first three months of the contract that are pre-paid at the time the order is confirmed in the checkout procedure, the customer is entitled to cancel the contract at any time.
During this "special period" HyperMatrix will refund the customer for the month(s) of service that were not used by the customer. The starting date of the refund amount calculation will be the cancellation date inserted in the customer's private area on the HyperMatrix site. The refund will be issued after HyperMatrix has:
- received back all HyperNode(s) related to the cancelled contract;
- analyzed the HyperNode(s) received and determined that they are in good conditions and have not been harmed in any way by customer's negligence.
In case the HyperNode(s) are not returned to HyperMatrix or are received in damaged conditions, HyperMatrix will contact the customer via mail and will negotiate the resolution of the case. Final decisions may include (but not only) extra charges to the customer, no refund or partial refund to be issued.

Invoicing
For any payment issued by the customer to HyperMatrix, or automatically performed via PayPal subscriptions, the customer will receive an invoice via mail, within the 10th day of the month after the payment date.

Contract expiring
The service contract between HyperMatrix and the Client does not have a set expiring date. It will go on until one of the parties (HyperMatrix or the Customer) will decide to terminate it.
HyperMatrix will have to inform the customer with a six months advance, to terminate a client's contract, and on Customer request all the customer data stored on the platform will have to be made available to the Customer prior disabling the Customer account.
The Customer can terminate the contract at any time directly from his/her reserved area on HyperMatrix web site. The Customer will have to send back hardware (HyperNode(s)) if they have been delivered on free loan bases. Upon receiving the hardware returned on contract termination, HyperMatrix will promptly check if the hardware is in good operational condition and will then stop the monthly charge.
The contract can also be deemed terminated if the Customer fails to perform the due payments according to the chosen payment procedures. In such case, after informing the Customer, HyperMatrix will be free to decide if Customer’s data will have to be sent to him/her, or if the data will simply be deleted from the HyperManage Platform. The HyperNodes stationed at customer premises on free loan bases will have to be sent back to the nearest HyperMatrix collecting center.
